These Terms and Conditions ("Terms") govern your access to and use of the website, software, applications and services provided by Longana Services Pty Ltd ("Longana Services", "we", "us" or "our").
By creating an account, purchasing a subscription, uploading a document, clicking "I agree", or otherwise using our Services, you agree to these Terms.
If you do not agree to these Terms, you must not use the Services.
1. Our Services
Longana Services provides automated document-processing services, including tools that may:
process bank statement PDF files;
extract transaction and account information;
convert bank statements into structured formats such as CSV;
identify, classify or categorise transactions;
generate descriptions, summaries or other derived information; and
provide related document-processing functionality.
The Services may use automated systems, algorithms, artificial intelligence, machine learning models and third-party technology providers.
We may modify, improve, replace or discontinue features of the Services from time to time.
2. Eligibility and Authority
You must be legally capable of entering into a binding agreement to use the Services.
If you use the Services on behalf of a company, organisation, client or another person, you represent and warrant that you have authority to:
act on their behalf;
accept these Terms on their behalf; and
provide and process the documents and information submitted to the Services.
3. Your Right to Upload Documents
You must only upload bank statements, documents and information that you are legally authorised to possess, use and process.
You represent and warrant that your use of the Services and all information you submit:
does not violate any applicable law;
does not infringe another person's rights;
does not breach any confidentiality or contractual obligation; and
has been obtained and provided with all permissions, notices and consents required by applicable law.
You must not use the Services to obtain, process or analyse another person's financial information without proper authority.
4. Automated Processing and Accuracy
The Services use automated technologies to extract, interpret and categorise information.
Automated processing is not error-free.
Results may contain errors, omissions, duplicated transactions, missing transactions, incorrect amounts, incorrect dates, incorrect descriptions, incorrect balances, incorrect categorisations, formatting errors or other inaccuracies.
Results may also differ depending on the quality, format, layout, encryption, language or structure of the source document.
You are responsible for reviewing and verifying all output against the original bank statement before relying on it.
Longana Services does not represent or warrant that every transaction, balance, description, category or other item will be extracted or classified correctly.
5. Not Financial, Accounting, Tax, Credit or Legal Advice
Longana Services provides document-processing and data-processing tools.
The Services and their outputs do not constitute:
financial advice;
financial product advice;
accounting advice;
tax advice;
legal advice;
credit advice;
lending advice;
investment advice; or
a recommendation concerning any financial decision.
Transaction categorisations and other generated information are provided as data-processing outputs only.
You are responsible for obtaining appropriate professional advice and independently verifying information before making financial, accounting, lending, credit, taxation, legal or business decisions.
6. Decisions Based on Outputs
You must not treat an output generated by the Services as the sole basis for a material financial, credit, lending, employment, legal, taxation or other significant decision affecting a person.
Where outputs are used as part of a decision-making process, you are responsible for implementing appropriate review and verification procedures.
Longana Services is not responsible for decisions made by you or another person based on unverified or incorrectly interpreted outputs, except to the extent that such liability cannot lawfully be excluded.
7. Accounts and Security
You are responsible for maintaining the confidentiality and security of your account credentials.
You are responsible for activity occurring through your account except to the extent caused by our failure to comply with applicable law.
You must notify us promptly if you reasonably suspect unauthorised access to your account.
We may suspend or restrict access where we reasonably believe this is necessary to protect users, our systems or the security of the Services.
8. Plans, Usage and Page Limits
Certain Services may be subject to subscription plans, usage limits, page allowances or other restrictions.
Usage allowances apply according to the plan displayed when you purchase or subscribe.
Unless otherwise stated, unused allowances do not carry over into subsequent billing periods.
We may reject or be unable to process documents that:
exceed applicable file or page limits;
are corrupted;
are password-protected or encrypted in an unsupported manner;
contain unsupported formats;
cannot be reliably interpreted; or
present a security risk.
9. Fees and Payment
Prices are displayed before purchase and may be stated inclusive or exclusive of applicable taxes as indicated during checkout.
You authorise us and our payment service providers to charge the applicable fees associated with your purchase or subscription.
We may change prices for future purchases or subscription periods by giving any notice required by applicable law.
Price changes do not retrospectively change amounts already paid.
10. Subscriptions
Where you purchase a recurring subscription, your subscription will automatically renew at the applicable billing interval until cancelled, unless otherwise stated during checkout.
You may cancel your subscription through the cancellation method provided by us.
Cancellation stops future renewals but does not ordinarily provide a refund for amounts already paid, except where required by law or expressly provided by us.
You will ordinarily retain access to the paid Services until the end of the period for which you have paid.
11. Refunds
Refund requests will be considered in accordance with applicable law, including the Australian Consumer Law where applicable.
We are not required to provide a refund merely because you changed your mind, no longer require the Services, or failed to use your available allowance, except where required by law.
Nothing in these Terms excludes any refund, remedy or other right that cannot lawfully be excluded.
12. Australian Consumer Law
Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law or any other applicable law that cannot lawfully be excluded, restricted or modified.
Where permitted by law, our liability for a failure to comply with an applicable guarantee in relation to services that are not ordinarily acquired for personal, domestic or household use or consumption may be limited, at our option, to:
supplying the relevant Services again; or
paying the reasonable cost of having the relevant Services supplied again,
where it is fair and reasonable for us to rely on that limitation.
13. Privacy and Financial Information
Your use of the Services may involve the processing of personal and financial information contained in uploaded documents.
Our handling of personal information is described in our Privacy Policy.
By using the Services, you acknowledge that information may need to be transmitted to and processed by infrastructure and service providers used to operate the Services, subject to our legal obligations and applicable privacy protections.
You should not upload information that is unnecessary for the Services you request.
14. Data Security
We use reasonable technical and organisational measures designed to protect information processed through the Services.
However, no internet transmission, cloud platform, software system or electronic storage system can be guaranteed to be completely secure.
To the extent permitted by law, we do not guarantee that the Services will be entirely immune from cybersecurity incidents, outages, unauthorised attacks or other events outside our reasonable control.
Nothing in this clause limits obligations imposed on us by applicable privacy, data protection or other laws.
15. Third-Party Service Providers
We may use third-party providers to deliver components of the Services, including cloud infrastructure, payment processing, email delivery, analytics, artificial intelligence and document processing.
The availability and performance of the Services may therefore depend partly on systems outside our direct control.
To the extent permitted by law, we are not responsible for interruptions or failures caused solely by third-party systems or events outside our reasonable control, except where we remain legally responsible for those matters.
16. Acceptable Use
You must not use the Services:
for unlawful, fraudulent or deceptive purposes;
to process information you have no lawful authority to access;
to infringe another person's privacy or intellectual property rights;
to upload malware or malicious content;
to interfere with or disrupt our systems;
to attempt unauthorised access to accounts, infrastructure or data;
to reverse engineer the Services except where permitted by law;
to circumvent usage restrictions or security controls;
to conduct automated scraping or excessive automated requests without our permission; or
in any manner reasonably likely to damage the Services or other users.
We may suspend or terminate access where we reasonably believe these Terms have been materially breached or where suspension is reasonably necessary to protect the Services, our users or third parties.
17. Intellectual Property
Longana Services and its licensors retain all rights, title and interest in the Services, including software, website content, systems, designs, algorithms, branding and other intellectual property.
You retain your rights in documents and information you upload.
Your use of the Services does not transfer ownership of your uploaded bank statements or underlying financial information to Longana Services.
You grant us a limited right to process submitted information to the extent reasonably necessary to provide, secure, maintain and support the Services and as otherwise described in our Privacy Policy.
18. Service Availability
We aim to provide reliable Services but do not guarantee uninterrupted or error-free availability.
The Services may occasionally be unavailable because of maintenance, upgrades, technical failures, internet disruptions, third-party outages or circumstances beyond our reasonable control.
We may perform maintenance or modify our infrastructure when reasonably necessary.
19. Disclaimer of Warranties
To the maximum extent permitted by law, and subject to any rights that cannot lawfully be excluded, the Services are provided on an "as available" basis.
We do not guarantee that:
every document can be processed;
every output will be complete or error-free;
transaction categorisation will always be correct;
the Services will always be available;
processing will always complete within a particular period; or
outputs will be suitable for every particular purpose or workflow.
Nothing in this clause excludes any statutory guarantee or other right that cannot lawfully be excluded.
20. Limitation of Liability
To the maximum extent permitted by law, Longana Services will not be liable for indirect, incidental, special or consequential loss arising from your use of the Services, including loss of profits, revenue, opportunity or anticipated savings, where such liability may lawfully be excluded.
You are responsible for maintaining appropriate copies of original documents and independently verifying generated outputs.
Where liability cannot lawfully be excluded but may lawfully be limited, our liability will be limited to the maximum extent permitted by applicable law.
Nothing in these Terms excludes or limits liability where doing so would be unlawful.
21. Indemnity
To the extent permitted by law, you agree to indemnify Longana Services against third-party claims, losses, liabilities and reasonable costs arising directly from:
your unlawful use of the Services;
documents or information you upload without required authority or consent;
your material breach of these Terms; or
your infringement of another person's rights.
This indemnity does not apply to the extent that a claim, loss or liability was caused or contributed to by Longana Services' breach of law, negligence or wrongful conduct.
22. Suspension and Termination
We may suspend or terminate your access to the Services where reasonably necessary because:
you materially breach these Terms;
payment remains overdue;
we reasonably suspect fraud or unlawful activity;
your use creates a material security or operational risk; or
we are required to do so by law.
Where reasonably practicable and appropriate, we may provide notice and an opportunity to remedy a breach before termination.
You may stop using the Services at any time and may cancel an active subscription in accordance with the applicable cancellation process.
23. Changes to the Services or Terms
We may update these Terms where reasonably necessary to reflect changes to the Services, applicable law, security requirements or our business operations.
Material changes affecting existing users will be communicated in a reasonable manner where required by law.
Changes will not operate retrospectively to remove rights that have already accrued.
If you do not agree with updated Terms, you may stop using the Services and cancel your subscription.
24. Force Majeure
To the extent permitted by law, we will not be responsible for delays or failures caused by circumstances beyond our reasonable control, including major internet outages, cloud infrastructure failures, natural disasters, government actions, telecommunications failures, industrial disputes, war or widespread cyberattacks.
This clause does not exclude obligations or liabilities that cannot lawfully be excluded.
25. Governing Law
These Terms are governed by the laws of New South Wales, Australia.
Subject to any rights you may have to bring proceedings elsewhere under applicable law, the parties submit to the jurisdiction of the courts of New South Wales and courts entitled to hear appeals from those courts.
26. Severability
If any provision of these Terms is found to be invalid, unlawful or unenforceable, that provision will be interpreted or severed to the minimum extent necessary, and the remaining provisions will continue to operate to the extent permitted by law.
27. Entire Agreement
These Terms, together with our Privacy Policy and any additional terms expressly presented when purchasing a particular Service, constitute the agreement between you and Longana Services concerning your use of the Services.
Nothing in this clause excludes representations or rights that cannot lawfully be excluded.
